New Incorporated Society
The ‘Incorporated Societies Act 2022’ received Royal Assent on 5th of April 2022, replacing the ‘Incorporated Societies Act 1908’. As a result, some significant changes in the requirements around membership, governance, general meetings, dispute resolution winding up, financial reporting and auditing have been made. All Incorporated Societies in New Zealand will be affected, and officers will need to act on these changes in the very near future.
In Brief:
• All Societies will need to revise their constitution to comply with the information set out in section 26 of the new Act.
• All Societies will need to re-register, otherwise they will cease to exist as of the 5th of April 2026.
• Large Societies will have to start using the XRB accounting standards to prepare their financial statements.
• The threshold for Societies having to get their financial statements audited is yet to be set by regulations
